Acquisition Criteria

Proven, Recurring Revenue
Minimum $250K SDE with at least five years of consistent performance. Repeat clients, contracted services, or membership-based income. We underwrite what exists, not projections.

Essential or Habit-Driven Service
We acquire businesses in categories people don't stop using — recession-resistant, need-based, or deeply habitual. If demand disappears when discretionary spending drops, it's not for us.

Replaceable Owner
The business must operate without the owner in the day-to-day. If the seller is the product, the value walks out with them. We look for businesses where staff, systems, and processes drive results.

Clean Financials
Three years of tax returns, P&Ls, and transparent add-back documentation. Sellers who come prepared with clean books get a faster, smoother close. We reward clarity and penalize opacity.

Clear Path to Manager-Run Operations
We design systems, not manage shifts. Every acquisition must have a viable path to a GM or operator running the business within 90 days of close. If that path doesn't exist, we build it before we buy.

Deal Size
Asking price of $500K to $1.25M. Direct buyers — no brokers required, no drawn-out processes, no financing contingencies that drag.
